Nebius is seeking a Legal Counsel Corporate & Governance to join our legal team. In this role, you will build and scale corporate governance across the Group by supporting the board and committees, overseeing public company and regulatory compliance, entity management, and continuous process optimization. This is a high-impact, hands-on role for a legal professional who excels in a fast-paced international environment, including the dynamics of a Nasdaq listing.

• Your responsibilities will include
• Provide legal advice on corporate law and governance matters, ensuring compliance with applicable laws, regulations and internal policies.
• Contribute to strategic governance initiatives, including identifying and implementing process improvements across governance operations.
• Prepare and follow up on board, committee and shareholder meetings, including drafting meeting materials and tracking resulting action items.
• Draft, review and manage a broad range of (intragroup) corporate documents to a high standard.
• Act as a key point of contact for global corporate housekeeping across multiple jurisdictions, including regulatory filings, company registrations and standard legal documentation.
• Collaborate effectively with external advisors, including legal counsel, auditors and corporate service providers.
• We expect you to have
• A Master’s degree in Law from a university, preferably a Dutch institution.
• 4+ years of relevant experience in a law firm or in-house legal department, preferably focused on corporate law or corporate governance.
• Experience with governance frameworks, corporate housekeeping and corporate transactions.
• Strong drafting and document-management skills with high accuracy and attention to detail.
• Demonstrated fluency in English, both written and spoken. And proficiency in Dutch (minimum B1 level, written) is required.
• Strong knowledge of Dutch corporate law, experience with N.V. structures, Nasdaq listing requirements, and cross-border entity-management is a plus.
